These Terms of Service (the "Terms") are a binding agreement between you and Andexor Network, Inc. ("Andexor," "we," "us," or "our"). By accessing or using https://andexor.net/, including every page under that address (the "Site"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. Submitting the Contact Us form is a further, affirmative acceptance of these Terms.
The Site is not directed to children under 18, and we do not knowingly collect personal information from them. If you are under 18, you may use the Site only with the consent of a parent or guardian.
The Site provides information about Andexor Network, Inc. and the services it offers. These Terms govern use of the Site only. If you engage us, that engagement is governed by the Andexor Network, Inc. Services Agreement presented at signup, which controls over these Terms with respect to the services.
We may revise these Terms at any time by posting a revised version on this page and updating the dates in the Document History section above. Revisions take effect on the Effective Date shown. Your continued use of the Site on or after that date constitutes acceptance of the revised Terms. A revision does not apply to a dispute that arose before its Effective Date; the version in effect when the dispute arose governs it. Please check this page from time to time.
All content on the Site, including text, graphics, illustrations, logos, icons, page designs, and software, is owned by Andexor Network, Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. "Andexor," "Andexor Network," and the Andexor logos are trademarks of Andexor Network, Inc. Other names and marks on the Site belong to their respective owners. You may not use our marks without our prior written permission, including in any way that suggests affiliation with, endorsement by, or sponsorship from Andexor.
We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to print or save a reasonable number of pages for your personal or internal business evaluation of our services. All other rights are reserved. Except as this Section or Section 5 allows, you may not copy, republish, redistribute, frame, mirror, scrape, or create derivative works from Site content, or remove any copyright, trademark, watermark, or other proprietary notice from it, without our prior written permission. Unauthorized use ends the license granted here.
You agree not to:
Automated access. Search engine crawlers, AI and answer-engine crawlers, personal AI agents, and other automated agents may access the Site if they identify themselves truthfully, request pages at a reasonable rate, and follow any robots.txt file, llms.txt file, agent discovery file, or meta directive we publish, each as updated from time to time. Where those files conflict with this Section, those files govern automated access to the Site. Subject to them, automated agents may:
Apart from the training use above, this permission does not allow copying the Site in bulk, reproducing substantial portions of a page, or presenting Site content as the agent's own, and it does not grant any other license to Site content.
We may investigate suspected violations and may suspend or block access to the Site, without notice, by anyone we reasonably believe has violated these Terms. We may also refer unlawful activity to law enforcement.
If you submit information through the Site, such as through the Contact Us form, you represent that it is accurate and that you have the right to share it. We may use the information you submit, including information about your website, to respond to you and to prepare any audit, proposal, or quote you request. Personal information is handled as described in our Privacy Policy (Section 11).
Do not send us confidential or proprietary information through the Site. Unless we have agreed in writing to treat it as confidential, information submitted through the Site is not confidential, and we have no obligation to protect it as such.
By providing your contact details, you agree that we may contact you by email or telephone about your inquiry. You may ask us to stop at any time.
Any suggestions, ideas, ratings, reviews, testimonials, or other feedback you give us about the Site or our services ("Feedback") is voluntary. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use Feedback for any purpose without obligation to you.
Content on the Site, including any articles, guides, case studies, and descriptions of our services, is provided for general information only. It is not legal, financial, tax, or other professional advice, and it does not create any client or advisory relationship. It is not an offer to provide services on any particular terms; any engagement requires a signed Services Agreement.
We do not guarantee any result from the services we describe. Search rankings, traffic, leads, and revenue depend on factors outside anyone's control, including search engine algorithms and your own business decisions. Any past results described on the Site are examples and do not promise a similar outcome for you.
Site content may be incomplete or out of date. We may correct, update, or remove content at any time without notice.
The Site may link to third-party websites, tools, and services. We do not control them, we are not responsible for their content, availability, accuracy, policies, or practices, and a link does not mean we endorse them. Your use of a third-party site or service is governed by its own terms and privacy policy, and is at your own risk.
Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. The Site is operated from the United States, and information you submit is processed and stored in the United States.
We respect the intellectual property rights of others. If you believe that content on the Site infringes a copyright you own or control, send a written notice to legal@andexor.net or to the mailing address in Section 16 that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing, with enough detail for us to locate it on the Site; (d) your address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act for the owner. We will review every complete notice and act as we consider appropriate. A person who knowingly misrepresents that material is infringing may be liable for damages, including costs and attorneys' fees.
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDEXOR NETWORK, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE ARE NOT LIABLE FOR UNAUTHORIZED ACCESS TO OUR SERVERS OR TO INFORMATION STORED ON THEM, OR FOR ANY INTERRUPTION OF TRANSMISSION TO OR FROM THE SITE, EXCEPT AS THE LAW REQUIRES. YOU USE THE SITE AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case they apply to the greatest extent the law allows.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDEXOR NETWORK, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, ITS CONTENT, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for willful misconduct. Some jurisdictions do not allow the limitation of certain damages, so some of the above limitations may not apply to you. Liability relating to purchased services is addressed in the Services Agreement, not here.
You agree to defend, indemnify, and hold harmless Andexor Network, Inc. and its officers, directors, employees, and contractors from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or relating to (a) your use of the Site in violation of these Terms or applicable law; (b) information you submit through the Site; or (c) your infringement of any intellectual property or other right of any person. We may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate with that defense.
Governing law. These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the arbitration agreement in this Section. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting an arbitration or lawsuit, you agree to send a written description of the dispute to legal@andexor.net that states what happened, when it happened, and what you are asking for, and to give us 30 days to try to resolve it with you informally. We will do the same before starting a claim against you. The one-year time limit in this Section is paused from the day we receive your written description, or you receive ours, until the 30 days have passed.
Binding arbitration. Unless you have opted out under this Section, any dispute that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or its Commercial Arbitration Rules if you are using the Site on behalf of a business, before a single arbitrator. The arbitration will take place in Atlanta, Georgia, or by video or written submissions if the applicable rules allow and either party requests it. The arbitrator may award the same individual relief a court could, and the award may be entered in any court of competent jurisdiction. We will not seek our attorneys' fees or costs from you in an arbitration unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. The AAA rules are available at www.adr.org.
Exceptions. Either party may bring a qualifying claim in small claims court instead, and either party may seek an injunction or other equitable relief in court to protect its intellectual property or confidential information, including from misappropriation, or to stop unauthorized access to the Site. You agree that a breach of Section 4 or Section 5 would cause us harm that money alone cannot repair, that we may seek an injunction or other equitable relief for it without proving actual damages and without posting a bond or other security, and that you will not oppose that relief on the ground that money would be an adequate remedy.
NO CLASS ACTIONS; NO JURY. YOU AND ANDEXOR EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY IN A PARTY'S INDIVIDUAL CAPACITY, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PARTIES. If this class action waiver is found unenforceable as to a particular claim, that claim must be brought in court under the Court proceedings paragraph below, and this Section otherwise remains in effect.
Opt-out. You may opt out of arbitration at any time by sending a written notice to legal@andexor.net that states your name, your mailing address, whether you are opting out for yourself or on behalf of a company or other organization, and that you opt out of arbitration. If you are opting out on behalf of an organization, also state its name and its domain name, and give its mailing address rather than your own. An opt-out does not apply to a dispute whose underlying events happened before we received it. Opting out does not affect any other part of these Terms.
Court proceedings. Any claim that is not subject to arbitration, whether because of an opt-out, an exception above, or a finding that arbitration does not apply, must be brought exclusively in the state courts located in Fulton County, Georgia, or in the United States District Court for the Northern District of Georgia, Atlanta Division. You consent to the personal jurisdiction of those courts and waive any objection to venue there. The class action waiver above applies in court to the fullest extent the law allows.
Time limit. Any claim arising out of or relating to the Site or these Terms must be filed within one year after it arose, or it is permanently barred.
Entire agreement. These Terms, together with the Privacy Policy and the Security Policy, are the entire agreement between you and Andexor about your use of the Site and supersede any prior agreement about it. They do not alter any Services Agreement or other written agreement between you and Andexor.
Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions stay in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. A waiver is effective only if it is in writing and signed by us.
Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or to an affiliate, without notice to you.
No third-party beneficiaries. These Terms do not give any rights to anyone other than you and Andexor, except that the persons named in Sections 11, 12, and 13 may enforce those Sections.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including hosting, network, utility, or communications failures, outages at third-party providers, acts of government, war, terrorism, civil unrest, epidemics, labor disputes, natural disasters, or attacks on the Site.
Electronic communications and signatures. You consent to receive communications from us electronically, and you agree that submitting a form on the Site, clicking to accept, or continuing to use the Site is a valid electronic signature and satisfies any legal requirement for a signature, including under the United States Electronic Signatures in Global and National Commerce Act. Notices we post on the Site or send to the email address you gave us satisfy any legal requirement that a communication be in writing, and are effective when posted or sent. Notices to us must be sent to legal@andexor.net or to the mailing address in Section 16, and are effective when we receive them.
Site availability and international use. We may modify, suspend, or discontinue all or part of the Site at any time without notice and without liability to you. We operate the Site from the United States and make no representation that it is appropriate or available elsewhere. If you access the Site from outside the United States, you are responsible for complying with local law.
Survival. Sections 4, 6, 7, and 10 through 16, and any other provision that by its nature should survive, survive any termination of your access to the Site or of these Terms.
Headings and interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms are written in English, and the English text governs.
If you have questions about these Terms, or need to send us a legal notice or copyright complaint, contact us anytime.
